The Senior Officer, Corporate Secretarial Services will be responsible for delivering a range of corporate secretarial services to clients, ensuring they comply with local regulations and corporate governance standards. This role involves managing client relationships, overseeing corporate filings, preparing board documentation, and providing high-level advice on corporate governance matters for multiple clients.
Key Responsibilities:
- Client Corporate Governance and Compliance:
- Provide corporate governance and compliance services to clients, ensuring they adhere to regulatory requirements and best practices.
- Assist clients with company incorporations, share transfers, corporate restructuring, and other corporate actions.
- Prepare and file necessary statutory documents with regulatory bodies, such as annual returns, resolutions, and business licenses.
- Maintain statutory registers, such as the register of directors, shareholders, and minutes for clients.
- Board Support and Documentation:
- Organize and manage board and committee meetings for clients, including preparing agendas, meeting papers, and drafting minutes.
- Advise clients on corporate governance practices and board procedures.
- Ensure all decisions made during board meetings are accurately recorded and filed as per the client's requirements.
- Client Advisory Services:
- Provide advisory services to clients regarding corporate governance structures, compliance issues, and regulations.
- Assist clients in understanding and complying with local and international regulatory changes affecting their business.
- Corporate Filings and Compliance:
- Ensure timely and accurate filing of statutory documents with local regulatory bodies on behalf of clients.
- Manage all statutory and regulatory filings, including the maintenance of company records and registers.
- Monitor and ensure compliance with filing deadlines, annual returns, and other corporate filings for clients.
- Client Relationship Management:
- Serve as the primary point of contact for clients on corporate governance and secretarial matters.
- Build and maintain strong client relationships, ensuring that their needs and expectations are met in a timely and efficient manner.
- Communicate regularly with clients to update them on regulatory changes or corporate developments that may impact them.
- Liaison with Regulatory Bodies:
- Liaise with local regulatory authorities and external legal advisors on behalf of clients to ensure compliance.
- Handle matters related to corporate registrations, filings, and regulatory inquiries for clients.
- Ensure that clients meet regulatory and legal obligations within required timelines.
- Other Duties:
- Prepare corporate documents, such as board resolutions, and other required legal documents.
- Keep clients informed about regulatory changes and assist with the implementation of compliance measures.
- Manage client files and documentation with a high level of confidentiality and attention to detail.
Qualifications and Skills:
- Bachelor's degree/Diploma in Law, Business Administration, or related field.
- Minimum of 5-7 years of corporate secretarial experience, ideally in a corporate service provider environment.
- Strong knowledge of local corporate laws, regulations, and compliance practices.
- Proficient in corporate secretarial software and Microsoft Office Suite.
- Strong interpersonal and communication skills, with the ability to manage multiple clients and stakeholders.
- Excellent organizational skills with great attention to detail.
- Ability to work under pressure and meet tight deadlines.
